Beta Program Agreement
Simcha Solutions LLC
1. The program
Simcha Solutions LLC ("Simcha Solutions," "we") operates a private beta program for Simcha DB Studio (the "Beta Product"), which may include access to a hosted sandbox environment at beta.simchadbstudio.com (the "Sandbox") with sample databases pre-loaded. By accepting this agreement or accessing the Beta Product or Sandbox, you ("you" or "Participant") agree to these terms. If you participate on behalf of an organization, you represent that you are authorized to bind it.
2. Beta nature; no reliance
The Beta Product is pre-release and provided for evaluation and feedback only. It may be incomplete, contain defects, change without notice, or be discontinued at any time. It is not intended for production use. You should not rely on the Beta Product, and you should not connect production databases or store the only copy of any important data in the Sandbox.
3. Access and eligibility
Admission to the beta is at our sole discretion and may be granted, limited, suspended, or revoked at any time for any reason. Access is personal to you or your organization and may not be shared, resold, or transferred. You are responsible for maintaining the confidentiality of your credentials and for activity under your account.
Eligibility (United States). The beta is offered only to businesses and individuals located in the United States. By requesting or accessing the beta, you represent that you are located in the United States and are not located in the European Economic Area, the United Kingdom, or Switzerland.
3a. Export control and sanctions
By requesting or accessing the beta, you represent and warrant that you are not located in, and are not a national or resident of, any country or region subject to United States embargo or comprehensive sanctions; that you are not identified on any United States government restricted-party or denied-party list; and that you will not access, use, or export the Beta Product in violation of United States export-control or sanctions laws. We may deny or revoke access if we believe, in our reasonable judgment, that providing it would violate those laws.
4. What you may connect
You may connect your own non-production databases to the Sandbox if you choose. You are responsible for ensuring you have the right to connect any database and to process any data through it, and for not introducing personal data, regulated data, or confidential information that you are not permitted to place in an evaluation environment. You remain the controller of any data you connect. We process it only to provide the Sandbox to you and will delete it in accordance with our Privacy Policy when your participation ends.
Your content. As between you and Simcha Solutions, you retain all right, title, and interest in the data you connect and in any content you create in the Sandbox (such as queries, scripts, and saved work). We claim no ownership of it and will use it only to provide and support the Sandbox for you. This does not limit the feedback license in Section 5, which applies only to feedback you voluntarily provide about the Beta Product.
5. Feedback
We welcome your feedback, and honest feedback is the core of this program. You grant Simcha Solutions a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate any feedback, suggestions, or ideas you provide into our products and services without restriction or obligation to you. You are not required to provide feedback, and any feedback you give is voluntary.
6. Confidentiality
The Beta Product, its features, performance, and any non-public information we share about it are our confidential information. You agree not to disclose them to third parties or to publish benchmarks, screenshots, or evaluations of the Beta Product without our prior written consent, until we make the relevant information public.
Likewise, any non-public information you designate as confidential and share with us in connection with the beta is your confidential information, and we will protect it with at least reasonable care and use it only to operate the beta and support you.
Neither party's confidentiality obligation applies to information that is or becomes public through no fault of the receiving party, was already known to it without a duty of confidentiality, or is independently developed.
7. Data and security in the Sandbox
We apply reasonable security measures to the Sandbox, but because it is a pre-release evaluation environment, we make no guarantees of availability, backup, or data durability. You are responsible for keeping independent copies of anything you connect or create. The Sandbox is the only Simcha-hosted environment; the production Simcha DB Studio product is self-hosted and is governed by the Software License Agreement.
8. Acceptable use
Your use of the Beta Product and Sandbox is subject to our Acceptable Use Policy. You will not use the Beta Product to violate law, infringe rights, transmit malware, probe or breach security, or interfere with the service or other participants.
9. No fees; no commitment
The beta is provided at no charge. Nothing here obligates Simcha Solutions to release a generally available product, to include any feature, or to offer you a commercial agreement. Any future commercial use of Simcha DB Studio will be governed by a separate license or subscription agreement.
10. Disclaimers
THE BETA PRODUCT AND SANDBOX ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE BETA PRODUCT AND FROM ANY DATA YOU CONNECT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMCHA SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM THE BETA PROGRAM. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE BETA WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100).
12. Term and termination
This agreement applies for the duration of your participation. Either party may end participation at any time. We may suspend or terminate your access immediately if you breach this agreement or the Acceptable Use Policy. On termination, your access ends, and we will delete your Sandbox data in accordance with our Privacy Policy. Sections that by their nature should survive (including feedback license, confidentiality, disclaimers, and limitation of liability) survive termination.
13. General
This agreement is governed by the laws of the State of Georgia. It is the entire agreement regarding the beta and may be updated by us on notice. If any provision is unenforceable, the remainder stays in effect.
